Agreement to Our Legal Terms

We are CodeQuint (“Company,” “we,” “us,” “our“), a company registered in India at Baikola, Baneswarpur, Bongaon, West Bengal 743270.
We operate the website https://www.codequint.com (the “Site“), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms“) (collectively, the “Services“).

These Legal Terms constitute a legally binding agreement made between you and CodeQuint. By accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms or documents may be posted and are incorporated herein by reference. We reserve the right to change these Legal Terms at any time. You waive the right to receive specific notice of each change. Review these Legal Terms regularly to stay updated. Continued use after changes means acceptance of those changes.

Services are intended for users at least 18 years old. Under 18s may not register or use the Services.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property: We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, “Content”), as well as trademarks, service marks, and logos (the “Marks”). Content and Marks are protected under copyright and trademark laws and international treaties.
The Content and Marks are provided “AS IS” for your personal, non-commercial use or internal business purpose only.
Subject to these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print portions of the Content for personal, non-commercial use or internal business purpose.
No part of Services, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. We reserve all rights not expressly granted. Any breach terminates your right to use Services immediately.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) you have legal capacity and agree to these Legal Terms; (2) you are not a minor; (3) you will not access via automated/non-human means; (4) you will not use Services for any illegal or unauthorized purpose; (5) your use will not violate applicable law.
Providing false, inaccurate, not current, or incomplete info may result in suspension or termination of account.

4. PROHIBITED ACTIVITIES

You may not access or use Services for any purpose other than those we make available. Prohibited activities include, but are not limited to:

  • Systematically retrieving data to create databases without written permission
  • Trick, defraud, or mislead us or other users
  • Circumventing or interfering with security features
  • Disparage, tarnish, or harm us and/or Services
  • Harass, abuse, or harm another person using info from Services
  • Any use inconsistent with applicable laws or regulations

5. USER GENERATED CONTRIBUTIONS

Services may offer or permit content submissions (“Contributions”). Contributions may be visible to others and treated per the Privacy Policy. When you make available Contributions, you represent and warrant their legality, rights, and authenticity; further details in the full text above.

6. CONTRIBUTION LICENSE

You agree we may access, store, process, and use info/data you provide per the Privacy Policy and your choices (including settings). Suggestions or feedback can be used for any purpose without compensation. You retain full ownership of your Contributions; we are not liable for their content. You agree to exonerate us from all responsibility and refrain from legal action regarding your Contributions.

7. THIRD-PARTY WEBSITES AND CONTENT

Services may link to other websites (“Third-Party Websites”) and include third-party content. We are not responsible for Third-Party Websites or Content, and inclusion does not mean endorsement. Use at your own risk, governed by the third party’s own terms and privacy practices.

8. ADVERTISERS

We allow advertisers on certain areas of Services. We simply provide space for such advertisements and have no other relationship with advertisers.

9. SERVICES MANAGEMENT

We reserve the right (but not the obligation) to monitor Services, take legal action for violations, restrict availability, or disable Contributions/content at our sole discretion; to remove excessive or burdensome files; and otherwise manage Services as needed.

10. PRIVACY POLICY

We care about privacy and security. Please review our Privacy Policy: Privacy Policy. By using Services, you agree to be bound by our Privacy Policy, incorporated into these Legal Terms. Data transferred/processed in Singapore as applicable.

11. TERM AND TERMINATION

These Legal Terms stay in effect while you use Services. We reserve the right to deny access and use, block IPs, terminate or suspend accounts/content at any time for any reason. If account terminated/suspended, you cannot create new accounts. We reserve the right to pursue legal action.

12. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify or remove content at any time. No obligation to update information. We are not liable for modification, price changes, suspension, or discontinuance. Downtime/inaccessibility may occur; we hold no liability for related inconvenience.

13. GOVERNING LAW

Legal Terms governed by India law. Both parties consent that courts of India shall have exclusive jurisdiction.

14. DISPUTE RESOLUTION

Disputes will first be subject to informal negotiations (30 days), then binding arbitration (International Commercial Arbitration Court under the European Arbitration Chamber, Brussels; seat Kolkata, India; English language; India substantive law). Some exceptions apply; see full clause.

15. CORRECTIONS

We reserve the right to correct errors, inaccuracies, or omissions at any time without notice.

16. DISCLAIMER

Services provided “AS-IS” and “AS-AVAILABLE.” No warranties, implied or expressed. Not liable for any errors, personal injury, bugs/viruses, interruption, or related damages.

17. LIMITATIONS OF LIABILITY

We are not liable for direct, indirect, or consequential damages arising from use of Services, even if advised of the possibility. Liability is capped as specified. Some jurisdictions may override limitations.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless against third-party claims arising from use, breach of terms, misrepresentation, violation of third-party rights, or harmful acts.

19. USER DATA

We maintain some data for performance management, but you’re responsible for your own transmissions and data. No liability for data loss/corruption.

20. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Use of Services constitutes consent to receive communications electronically. You agree to electronic signatures, contracts, and notices, waiving rights to physical documentation.

21. CALIFORNIA USERS AND RESIDENTS

22. MISCELLANEOUS

These Legal Terms and any posted policies are the entire agreement. Failure to exercise any right is not a waiver. Provisions deemed unlawful, void, or unenforceable are severable. No joint venture, partnership, employment, or agency relationship is created by use. Electronic form stands as valid agreement.

23. AMENDMENT OF TERMS AND CONDITIONS

We reserve the right to amend or update these terms at any time without prior notice. Changes are immediately effective upon posting. Continued use means acceptance.
